Terms of Service

These Terms of Service ("Terms") govern your use of the Micelclaw website (micelclaw.com), the Micelclaw OS software, and related services including Cloud Credits and the license server (collectively, the "Service"). By using the Service, you agree to these Terms.

Micelclaw OS follows a three-stage licensing model per major version release:

We reserve the right to adjust these timeframes for each new major version release. The terms applicable to a given version are those published at the time of that version's release and remain fixed for that version.

Commercial use means any use of Micelclaw OS within a business, commercial, or revenue-generating context. This includes, but is not limited to, use by companies, freelancers, and organizations. Personal use for private, non-commercial purposes does not require a paid subscription regardless of tier. If you have more than 10 users on a single instance, a paid subscription is required.

2.2 Your data

Your data is yours. All content you create or import into Micelclaw OS (notes, emails, calendar events, contacts, photos, files, diary entries, conversations) is stored exclusively on your own hardware. We have no access to this data and make no claim to it.

You may export all your data at any time using the built-in data export feature, available on all tiers including free.

2.3 No quantity limits

No tier restricts the amount of data you can store. Tier differentiation is based on features, never on volume.

3. Accounts and license keys

3.1 Registration

Micelclaw OS can be installed and used without registering an account. A license key is only required to use Cloud Credits, purchase a subscription, or access features that require our cloud services.

To obtain a free license key, register at Settings → License → "Get free license" with an email and password. This registers your account on our license server (api.micelclaw.com).

3.2 Account security

You are responsible for keeping your credentials and license key secure. Notify us immediately at [email protected] if you suspect unauthorized access.

3.3 Instances per license

A single license key may be used on an unlimited number of Micelclaw OS instances belonging to the same person. Sharing, reselling, or distributing license keys to third parties is prohibited.

4. Subscriptions and payments

Features and pricing are described at micelclaw.com/pricing and may change. Price changes do not affect active subscriptions until their next renewal.

4.2 Payment processing

Payments are processed by Lemon Squeezy Inc., which acts as the Merchant of Record. LemonSqueezy handles billing, invoicing, VAT/tax collection, and payment disputes. By making a purchase, you also agree to LemonSqueezy's terms of service.

4.3 Refund policy

We offer a 14-day refund period on all subscriptions, no questions asked, in compliance with EU consumer protection law (Directive 2011/83/EU). To request a refund, email [email protected] or use the LemonSqueezy customer portal.

Cloud Credits are non-refundable. Once purchased, credit packs cannot be refunded regardless of usage.

4.4 Cancellation

You may cancel your subscription at any time through the LemonSqueezy customer portal. Upon cancellation:

If the license server is unreachable, your current tier is cached locally for 14 days. After 14 days without contact, the system degrades to free tier. No data is lost.

5. Cloud Credits

5.1 What they are

Cloud Credits are a prepaid balance for AI model inference through our proxy server (api.micelclaw.com). 1 Cloud Credit = $0.01 USD of real API cost from the AI provider. A license key is required to purchase and use Cloud Credits.

5.2 Transparency

Every request shows which model was used, how many tokens were processed, and the exact cost in credits. Our margin is in the purchase price of the packs, not in consumption.

5.3 Third-party providers

When you use Cloud Credits, your request is forwarded to a third-party AI provider (Anthropic, OpenAI, Google, DeepSeek, xAI). We do not store the content of your requests — they are streamed through and discarded. The AI provider's terms and privacy policy apply to how they process your data.

For zero data exposure to external servers, use BYOK (Bring Your Own Keys) or local models via Ollama, available on all tiers.

5.4 Provider errors

If an AI provider returns a server error (HTTP 5xx) and fails to process your request, the credits for that request are automatically refunded to your balance. For other disputes regarding credit usage, contact [email protected].

Credits are consumed FIFO: those closest to expiration are used first.

6. Acceptable use

Micelclaw OS is self-hosted; you may use it freely on your own hardware. However, the following restrictions apply to our cloud services (license server, AI proxy):

Violation of these terms may result in immediate termination of your license (see §9).

7. Apps and marketplace (MicelHub)

7.1 First-party apps

Apps developed and published by Micelclaw ("Verified" apps) are covered by these Terms and supported by us.

7.2 Third-party apps

MicelHub may host apps developed by third parties. All third-party apps must pass our Safety Scanner before publication. However:

Install third-party apps at your own risk. We recommend only installing apps from publishers you trust.

8. Limitation of liability

8.1 No warranty

The software is provided "as-is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitation

To the maximum extent permitted by applicable law, our total liability for any claims arising from or related to the Service is limited to the amount you have paid us in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded under applicable law. EU consumer protection rights are not affected.

You may stop using the Service at any time. Uninstall the software and, if desired, request account deletion at [email protected].

We may revoke your license and terminate your account if you violate these Terms. Upon termination by us:

Sections 2.2 (your data), 8 (limitation of liability), 9 (intellectual property), and 12 (governing law) survive termination.

11. Changes to these Terms

We may update these Terms. Changes will be posted at micelclaw.com/terms with an updated date. For material changes, we will notify you via email (if you have a registered account) at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.

12. Governing law and jurisdiction

These Terms are governed by the laws of Spain. Any disputes shall be submitted to the courts of Madrid, Spain.

For consumers resident in the European Union, mandatory consumer protection laws of your country of residence apply to the extent they provide greater protection than Spanish law. Nothing in these Terms affects your statutory rights as a consumer.
